1. License Grant
Subject to these terms, ESLaunch grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the ESLaunch ROI Opportunity Calculator solely for lawful internal business-evaluation purposes.
2. No Ownership Transfer
Use of the calculator does not grant ownership rights in the calculator, calculator logic, industry benchmark structures, formulas, interface design, workflow design, reports, documentation, trademarks, content, systems, templates, or other ESLaunch intellectual property.
3. Restrictions
Users may not: copy or reproduce the calculator; resell, rent, lease, sublicense, distribute, or commercially exploit calculator access; build a derivative calculator, competing tool, dashboard, website, or product based on the tool; reverse engineer, decompile, disassemble, or attempt to extract source code, formulas, prompts, logic, data structures, or implementation details; scrape or automate access; circumvent access controls; remove branding or legal notices; misrepresent outputs; use exports or summaries as audited, legal, financial, or guaranteed-performance documents; or use the tool for unlawful, misleading, deceptive, harmful, or abusive activity.
4. Calculator Output Limitations
The calculator produces illustrative, directional scenario outputs based on user-selected assumptions and industry benchmarks. Outputs are not financial advice, legal advice, accounting advice, business valuations, audit findings, damage calculations, guaranteed projections, or promises of results. All users remain responsible for validating assumptions and consulting qualified advisers where appropriate.
5. Exported Reports
Exported reports, summaries, PDFs, calculator displays, and related materials are illustrative business-planning materials. They may not be represented as independently verified, audited, legally binding, guaranteed, or authoritative statements of actual business performance.
6. Availability and Changes
ESLaunch may update, modify, suspend, restrict, discontinue, or replace any calculator feature, benchmark, design element, output, or tool function at any time. Uninterrupted availability is not guaranteed.
7. No Warranty
The calculator and related tools are provided on an "as available" and "as is" basis. ESLaunch makes no warranty that the calculator will be uninterrupted, error-free, secure, accurate, complete, current, or suitable for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law, ESLaunch and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to the calculator, tools, deliverables, or this EULA. To the maximum extent permitted by law, ESLaunch's total liability will not exceed the amount actually paid by the claimant to ESLaunch for the specific service giving rise to the claim during the three months immediately preceding the event giving rise to the claim.
9. Termination
The license automatically terminates if the user violates this EULA or the Terms of Service. Upon termination, the user must stop using the calculator and any restricted proprietary materials.
10. Governing Law
This EULA is governed by the laws of the State of California, without regard to its conflict of laws principles.
